Aeroman Parent MRO Holdings Sells 65% Stake to AAR CORP., Secures New Investment for El Salvador Hub.

AAR CORP. has signed a definitive agreement to acquire a 65% majority stake in MRO Holdings, the parent company of El Salvador-based Aeroman and operating facilities across Mexico, the United States, and Colombia. Under the deal, existing MRO Holdings shareholders will retain a 35% stake, integrating the group into one of the leading aviation service platforms in North America while maintaining current leadership and workforce across all sites.

The strategic partnership includes a multi-year investment plan aimed at expanding maintenance capacity, introducing advanced technical expertise, modernizing facilities, and strengthening training programs for technicians and engineers in El Salvador. As a global leader exporting roughly 90% of its high-value services to U.S. airlines, MRO Holdings’ primary operations at El Salvador International Airport—featuring seven hangars—will serve as the core platform for the group’s regional growth.

“AAR is the ideal partner for MRO Holdings: they are industry experts who value people just as we do,” stated Roberto Kriete, Chairman of the Board of Directors of MRO Holdings. “We will remain relevant shareholders because we expect the next chapter of the company to be even bigger than the last.” John M. Holmes, Chairman, President, and CEO of AAR CORP., added that the acquisition is “truly transformative for AAR,” establishing a long-term partnership in a critical geographic region.

Subject to regulatory approvals and customary closing conditions, the transaction is expected to close in the first quarter of 2027. Until the finalization of the deal, both AAR CORP. and MRO Holdings will continue operating as independent entities, serving top-tier commercial airlines worldwide with a combined workforce of approximately 10,000 professionals and 115 maintenance lines.
